There are a couple of Japanese sites that give you some specs when translated, but basically here's the deal:
Take the 3801 and add the following:
Beefed up power supply
Upgraded DDSC circuitry
Better isolation of circuitry from power supply
DPL II
5 watts more per channel (not quite sure about this one).
Best equipped mid-range receiver on the market.
An already great receiver refined at bit more.

I beleive the 2802 will be matrix and the 3802 will be discrete. I'm almost positive. The 2802 will have 6 channels which will make it matrix. That was what i saw on the screen when the salesman showed me. I saw 100x6/dd/dts-es. Which makes me think matrix. the 3802 said ???x7 (don't remember it had more wattage) but it will be discrete, I now for sure.

There was a German DVD/Home Theater site that basicly said the same thing as what GregoriousM posted. Here it is as translated by Dictionary.com.
High end 2001: Denon shows AVR-3802 and ADV-700 18,06,2001 (CR) On the High end to presented Denon two novelties: Called on the one hand the new version of the success model AVR-3801, AVR-3802. However a Facelift concerns no completely new device, but only around. As the most important innovation the AVR-3802 is equipped with Dolby ProLogic II. Thus the Denon denon-Receiver has now both over DTS NEO:6 and the Dolby new development. Furthermore the DSPs was programmed, on digital level can the user now the transfer frequency of the Subwoofers stop, selectable is 80, 100 or 120 cycles per second again. To the sound improvement a modification in the preliminary stage unit is to contribute. Starting from at the beginning of September is available the AVR-3802 at a price of presumably 1300 euro (2600 DM) in the trade. A test of the gefacelifteten receivers follows at present the introduction on the market.
Denon.com still has the 3801 marked as "NEW!"

Gil: The MSRP will probably be pretty close to the 3801. Isn't is $1099 in the US? Street price in the $950 area is my guess. (and what I'm budgeting)
Leon: will probably see it about a month or two after the 3802. In the past Denon seems to do about one receiver a month when they have a release of a new line/series.

Leon V, pricing at Tweeter showed: 3802 at the same price as before which was $1199 and the 2802 was at $799. Now whether or not that price will remain the same after they hit floor showrooms remains to be seen. I have exacly enough plus taxes to buy the 3802 and with the option to go down to the 2802 if I like it. If it's more than that I'll have to save more.

Hi Henry,
Would you mind telling who your mail order contact is for the 3802? If you don't want to post it on the forum, you could email me at [email protected]. Thanks.

this is in response to Bill about the Denon 3801 not being DTS discrete. The 3801 is DTS-ES discrete, so I expect the updated version of it to be too.

The 3802 is DTS-discrete AND 7 channel.
And I listened to DPL2 today and I have to say that it does do a great deal to the 2 channel DVD's that are coming out, to the 2 channel and ProLogic VHS tapes, and to movies, etc. on cable or satellite.
I think that some of the problem is that people are comparing it to DD/DTS which is discrete. If you do, you'll be disappointed in DPL2.
If you compare it to the old ProLogic and how it treated 2 channels sources and surround sound, etc., I think you will be pleasantly surprised!
IMHO!

I will extend a slight warning---if you are hanging your hat on DPLII because you want to watch cable movies , please check how that algorithym will work with the "high quality""stereo" transmission of your cable companies audio...I have many dissapointed customers

Since i dont have DPL II, yet, I will say that the 3801's Neo-6 Cinema does wonders with cable audio.

Does anyone have any info on were to buy the 3802 by mail or online. It will probably be cheaper but, trying to find an authorized dealer will be might be hard.
