I've heard the 3802 and liked the sound over a Yamaha and Sony 5ES. I have not yet located the 797, but I wonder if the upsampling would make enough of an improvement in sound quality of cds that I should look for it. I also read that the 3802 is out of stock at 6ave.com (I hope this is temporary). Anyway I have never heard upsampling and wonder if it's and audible improvement.

Matt, I've had my 797 for about 6 months now and honestly can't tell any difference between having the upsampling on or off. This is with decent speakers (B&W 603s3). I think its a pretty good sounding receiver with really great features, and it would probably be worth it for you to track one down, but I wouldn't let the upsampling feature affect your purchasing decision too much.
