My computer, an HP Pavillion with an Athalon processor and 128mb of ram must be rebooted several times a day because the system resources get so clogged that it crashes. Sometimes I get the following message after which the thing freezes up and I have to push the power button to get it restarted.
An exception OE has occured at 0028:C0262211 in VxD---
This was called from 0028:C002DEE5 in VxD--- It may
be possible to continue normally

I've tried shutting down non essential programs to save reseources but nothing seems to work. Any suggestions on how I can get this thing to run more smoothly? Would upgrading from ME to XP be helpful?

The first thing to do would be to right down what was running at the time.
I've found that browser windows alomg with free dialup used to do it to me.

Carl,
You may want to check your cooling fans. If the CPU is not properly cooled, you will get these errors. You also want to CNTL+ALT+DELETE and see what's running in the background.

How do I go about checking the cooling fans? I can hear them running and I remember finding some menu a while back that told me what temperature the cpu was runnung at but I don't know what temperature it is supposed to be.
