2802 vs 3802 as a preamp

I've been contemplating upgrading my Denon 2801 primarily for Dolby Prologic II. Since I would use this as a preamp, would the 3802 be a noticable difference in sound quality over the 2802? I'm also considering the HK520. I've checked out the NAD T752 and love the piece, but the fan was a bit noisey and it is a little bit out of my price range.
Home Theater Consists of: B&W CDM7se(main), CDMCse(center),B&W Rock Solids(rear), SVS 25-31PCI, Sherbourn 5/1500A amp, HK 520(used as a preamp), Proscan 36" 36700, JVC DVD XV-FA95GD.
